Summary: The candidate will act as a resource with the various business units and will provide support to our Associate General Counsel and General Counsel on various projects and protection of VCNA's rights and interests.

Essential Duties and Responsibilities:

Responsibilities include the following, though other duties may be assigned:

  • Manage a wide range of day-to-day litigation issues including internal fact gathering, document production, drafting and responses to interrogatories.
  • Draft, review and negotiate various commercial contracts, leases, licenses, etc., and ensure that the interests of VCNA are adequately protected; communicate and resolve issues with business clients.
  • Identify potential legal and/or regulatory issues and partner cross-functionally with business units to identify and implement appropriate solutions.
  • Maintain and monitor contract management software.
  • Oversight of standardized contract processes, including review, negotiation, approval and execution at appropriate levels within the corporation.
  • Participate in development, implementation and training on a wide variety of legal and governance policies and procedures for the corporation.
  • Manage external legal counsel and other consultants on matters assigned.
  • Provide legal advice and support on various strategic projects as required, including M &A, corporate finance, insurance coverage and renewal, data privacy, environmental and lands management.

Qualifications:

  • Graduation with honors from top tier law school required; at least two years of related experience and/or training, ideally with a medium to large law firm, corporation or branch of government.
  • Strong legal writing and communication skills are required. The candidate must be able to write clearly and concisely, and must be able to communicate complex concepts to businesspersons to obtain input and feedback.
  • Demonstrated proficiency with MS-Office Suite (PowerPoint, Excel, Word, Outlook).
  • Experience with ProLaw and Ariba, or similar customizable document management platform.
  • Excellent judgment and professionalism when dealing with clients and third parties.
  • Strong organizational and time management / multi-tasking skills.
  • Ability to identify issues and facilitate necessary communication to remove roadblocks, avoid delay.
  • Attention to details; analytical and problem-solving skills; creative thinking.
  • Ability to adapt to a changing work environment and function cooperatively in a service and support department of the corporation.
  • Keen interest in learning new tools and practices.
